1.1 WavingCat.uk is a website operated by J&V Waddington Limited ("we", "our" or "us") which enables buyers (“you”) to buy our food products online.

Your relationship with us

2.1 This document and any documents referred to within it (collectively, the “Terms of Service”) set out the terms of your relationship with us. By using our website, you agree to these Terms of Service. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content. 

2.2 Please read the Terms of Service carefully before you use our website. These terms tell you who we are, how we will provide services to you, how you and we may change or end our contract, what to do if there is a problem, and other important information. If there is anything within the Terms of Service that you do not understand, please contact us.

2.3 We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

3.1 Waving Cat is a trading name for our Limited company J&V Waddington Limited which is a company incorporated and registered in England and Wales under company number 12051175, whose registered office address is 41 High Street Shrewsbury Shropshire SY1 1ST. Our registered VAT number is 328970273.

3.3 If we have to contact you, we will do so by telephone or by writing to you at the email address or postal address you provided to us in your order.

4.1 Please read our Privacy Policy to understand how we collect, use and share information about you. 

Using our website

5.1 By using our website you are responsible for providing information that is accurate up to date.

5.2 You will need to supply valid, complete and up to date payment information in order to purchase products from this website

5.3 You are responsible for maintaining the confidentiality of your login details and for any activities that occur under your Account. If you have any concerns that your Account may have been misused, you should contact us at hello@wavingcat.uk straight away to let us know.

5.5 We may contact you to verify your identity and request any additional documentation that we may require for that purpose, as permitted by applicable laws.

5.6 We only offer our services in the UK. The wavingcat.uk website is solely for the sale of Products in the UK. We do not accept orders from addresses outside the UK.

5.7 We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors. 

5.8 We do not guarantee that our site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software.

Payment

6.1 Our website is free to browse and there are no charges to create an Account.

6.2 All transactions are conducted on a strictly payment at order basis. We do not offer credit. 

6.3 In order to buy Products on our website, you will be required to pay the purchase price of the Products and any applicable costs of delivery. The final Purchase Price stated at the checkout is the sum total of any monies we charge.

6.4 Our website is hosted by Squarespace. They provide us with the online e-commerce platform that allows us to sell our products to you. Through Squarespace e-commerce we are able to accept payments via stripe (credit and debit cards) and PayPal.

6.5 If your request to buy a Product is accepted, your request will be confirmed, and your credit card or debit card will be charged the Purchase Price.

6.6 If your request to purchase a Product is rejected, your request will not be confirmed, and your credit or debit card will not be charged the Purchase Price.

6.7 All amounts (including any Purchase Price) stated or referred to in these Terms of Service are:

  1. listed in British pound sterling (GBP); and

  2. inclusive of value added tax and any other taxes (if applicable) and shall be paid at the same time as the Purchase Price.

Cancellations & Refunds

7.1 There may be occasions where we are unable to fulfil your order due to an issue with the product, stock levels or the failure of your payment. In this instance we will email you with an explanation, or to issue a refund should that be necessary.

7.2 All Products for sale on our website are perishable. Please see the Consumer Contracts Regulations of 2013 which states that you have no right to return perishable food items should you change your mind. If on receiving your parcel, you discover that there is any damage or any defects, please notify us. We will replace or refund any such products.

Products & Services

8.1 We reserve the right to change prices and sizes of our products at any time without notice.

8.2 We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. 

8.3 We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service. 

8.4 We have made every effort to display as accurately as possible the colours and images of our products that appear on our online store. We cannot guarantee that your computer monitor's display of any colour will be accurate. 

8.5 We reserve the right to discontinue any product at any time.

Accuracy, Completeness and Timeliness of Information 

9.1 The content on our site is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.

9.2 Although we make reasonable efforts to update the information on our site, this site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site. 

9.3 Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order). 

Rules for acceptable use

10.1 You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us. 

10.2 When using our website you must not:

  1. circumvent, disable or otherwise interfere with any security related features of the Service;

  2. give any false or misleading information or permit another person to use the Service under your name or on your behalf;

  3. impersonate any person, or misrepresent your identity or affiliation with any person or give the impression they are linked to us, if this is not the case;

  4. use the Service other than for its intended purpose as set out in the Terms of Service;

  5. use the Service if we have suspended your access to it, or have otherwise banned you from using it;

  6. modify, interfere, intercept, disrupt or hack the Service or collect any data from the Service other than in accordance with the Terms of Service;

  7. misuse the Service by knowingly introducing viruses, Trojans, worms, logic bombs or other material which would harm the Service or the equipment of any user of the Service; or

  8. use any automated system, including without limitation "robots", "spiders" or "offline readers" to access the Service in a manner that send more request messages to the Service than a human can reasonably produce in the same period of time.

  9. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990.

  10. You must not use the Service unlawfully, to solicit others to perform or participate in any unlawful acts. 

  11. You must not harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;

10.4 A breach or violation of any of the Terms will result in an immediate termination of your Services.

User Feedback & Contributions

11.1 Any Contribution made by you either requested (for example competition entry) or without request (for example suggestions or comments), will be considered non-confidential and non-proprietary. You shall retain all ownership rights in your Contributions, but you hereby grant to Waving Cat and to other users of the Service a a perpetual, worldwide, non-exclusive, royalty-free, transferable licence to use, store and copy that Contribution and to distribute and make it available to third parties.

11.2 You agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments. 

11.3 We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service. 

11.4 You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libellous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. 

11.5 You may not use a false e‑mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. 

11.6 You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party. 

11.7 Any Contribution must be accurate (where it states facts), be genuinely held (where it states opinions) and comply with the law applicable in England and Wales and in any country from which it is posted. Waving Cat will determine in its discretion whether a Contribution breaches these standards.

11.8 Our site may include information and materials uploaded by other users of the site. This information and these materials have not been verified or approved by us. The views expressed by other users on our site do not represent our views or values.

12.1 We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. 

12.2 You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. 

12.3 Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). 

12.4 We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service. 

12.5 Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

12.6 We have no control over the contents of those sites or resources.

12.7 We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party. 

Liability 

13.1 Our Service is provided on an "as available" and "as is" basis. This means that we are unable to promise that your use of our Service will be uninterrupted, timely, secure or error-free. 

13.2 You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you. 

13.3 You agree that your use of, or inability to use, the service is at your sole risk. The service and all products delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. 

13.4 In no case shall J&V Waddington Limited, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. 

13.5 Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law. 

13.6 Please note that we only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

Indemnification 

14.1 You agree to indemnify, defend and hold harmless J&V Waddington Limited and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party. 

Severability

15.1 If any provision of the Terms of Service is determined to be unlawful or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law and this will not affect the continuation in full force and effect of the remainder of the provisions.

Termination

16.1 These Terms of Service are effective unless and until terminated by either you or us. 

16.2 You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.  

16.3 If you do not agree to our Terms of Service or any changes made to our Terms of Service at any time or for any reason you may end your use of our Service, other than in respect of any orders that are in progress.

16.4 We may immediately end your use of the our website and Service if in our sole judgement you fail to comply with any provision of these Terms of Service.

16.5 We may terminate your use or withdraw our Service at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof). 

16.6 If we end your right to use our Service for your breach of the Terms of Service, we will refund any Purchase Price you have paid in advance for pre-orders of Products in respect of which you have not received confirmation are in stock and will be delivered to you, but we may deduct reasonable compensation for the net costs we will incur as a result of your infringing these Terms of Service.

16.7 If we end your right to use our Service for your breach of the Terms of Service, and you have received confirmation that the Products are in stock and/or are being delivered to you, our ending of your right to use our Service will not affect your order for those Products, but we may charge you for reasonable compensation for the net costs we will incur as a result of your infringing these Terms of Service.

16.8 We will not offer you any other compensation for any losses incurred by you on our ending of your right to use our Service.

16.9 Your termination from using our Service will not affect the obligation to pay any amounts due to us. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. 

Resolving disputes & Governing Law

17.1 If you have a dispute with us relating to the our Service, in the first instance please contact us at hello@wavingcat.uk and attempt to resolve the dispute with us informally. In the unlikely event that we are not able to resolve a dispute informally, we will discuss and agree with you the most effective way of resolving the dispute.

17.2 English law will apply to all disputes and the interpretation of these Terms of Service. the English courts will have non-exclusive jurisdiction over any dispute arising from or related to your use of the our Service.

Entire Agreement 

18.1 The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. 

18.2 We may revise these Terms of Service from time to time. It is your responsibility to check this page and other policy pages periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

18.3 Any revisions to the Terms of Service supersedes prior agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service). 

18.4 Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
